General Terms and Conditions for the Use of Tickets

1. Acceptance of the General Terms and Conditions (GTCs) by the Buyer and the Ticket Holder

The use of CONMEBOL SUDAMERICANA 2019 matches tickets ("Competition"), as well as the terms of admission to the Stadium in Unique Final Match of CONMEBOL CONMEBOL SUDAMERICANA 2019 ("Game") is being performed, will be subject to these General Terms and Conditions ("GTCs"), as defined by CONMEBOL. Any person who buys, holds, or uses a Ticket ("Ticket Holder / Buyer ") is deemed to agree fully and irrevocably with CONMEBOL with respect to the present GTCs.

2. Confirmation of GCTs and Security Regulation 2019

In addition to the provisions of item 1 hereof, the delivery to the CONMEBOL of an electronic request for tickets properly completed ("Electronic Request for Ticket") confirms that each person who requests and purchases Tickets ("Applicant / Buyer of Ticket"): (a) read, understand and accept the GTCs and other safety and conduct rules defined by CONMEBOL and the Security Regulation 2019 and (b) will cause each individual that receives a ticket (directly or indirectly) to read, understand and accept the GTCs and the Security Regulation 2019 prior to receiving the ticket (in addition to the fact that each Ticket Holder has fully and irrevocably agreed with CONMEBOL regarding the GTCs and the Security Regulation 2019, under the terms above). For this purpose, the Ticket Buyer shall deliver a copy of these GTCs and Security Regulation 2019 to individuals who receive Tickets or shall direct such individuals to the other sources of access to copies of these GTCs and Security Regulation 2019

3. Entrance and Conduct in the Stadiums

3.1 The entrance in a Stadium, including the areas of its surroundings and specifically indicated, that are under the control of the Authorities of CONMEBOL on the day of a Match, will be authorized during the times official opening, and only upon submission of a valid ticket and official ID or passport registered during sales process for each person who wishes to enter, regardless of their age. The Ticket holder must keep his Ticket and ID during the Game for verification purposes.

3.2 Each Ticket is an official voucher, which indicates a personal and revocable license to entry and stay at the Stadium on a match day, during the times determined by CONMEBOL, subject to the terms and conditions set forth in these GTCs and in the applicable legislation. CONMEBOL continues to be the owner of the ticket. All Ticket Holders should note: (a) the GCTs, (b) the sales regulations applicable to the Applicant / Buyer of the Ticket, indicated in the Electronic Request for Ticket, which may be obtained through the sources mentioned in Clauses 11.2 and 11.3 below (the "Ticket Sale Regulation") (c) the Security Regulation 2019, and / or (d) any laws, statutes, regulations, orders or instructions given by CONMEBOL by stadium administrations and / or by the local public authorities responsible for security relating to the Match, and their respective employees, agents, representatives, administrators and officers (jointly, " CONMEBOL Unique Finals 2019 Authorities ")

3.3. a) The Ticket, and consequently the license to enter and remain in the Stadium, will be automatically revoked in case of violation of any provisions of the GTCs, Security Regulation 2019, the Ticket Sale Regulations and / or any laws, statutes , regulations, ordinances, as well as instructions from the CONMEBOL Unique Finals 2019 Authorities . Examples of prohibited conduct are: being visibly under the influence of alcohol, narcotics or any narcotic substance; expressing offensive, racist or xenophobic messages or encouraging other forms of discrimination; promote religious, political or ideological messages or any form of charity; harass or annoy other persons, including players or officials of the matches; behave (or show a tendency to behave) in a violent, aggressive or in a way that could disturb public order. (b) Examples of items prohibited at the Stadiums are: weapons of any kind or any object that may be used as weapons, fireworks, flags or pyrotechnic articles, commercial material or similar items that may infringe any rights of CONMEBOL on Competition , and other objects that may endanger public safety and / or damage the reputation of the Competition. (c) Examples of instructions that may be given by the of CONMEBOL Unique Finals 2019 Authorities: an order requesting that an Ticket Holder leave the Stadium, or move to another seat for safety reasons, technical requirements or ensure the orderly and quiet performance of the Competition, and an order requiring you to cover or remove materials exhibiting commercial or otherwise prohibited content.

3.4 The CONMEBOL Unique Finals 2019 Authorities may give instructions based on these GTCs, the Ticket Sale Regulations and the Security Regulation 2019. The CONMEBOL Unique Finals 2019 Authorities may search any Ticket Holder. The Ticket Holder shall cooperate with the CONMEBOL Unique Finals 2019 Authorities. The Ticket Holder shall, upon request, furnish proof of identity, including by means of a photo identification document, and shall agree that if they are found in possession, forbidden items and elements of risk of being carried inside the Stadium, will either: deliver this item to the CONMEBOL Unique Finals 2019 Authorities or withdraw from the Stadium.

3.5 Individuals who have been banned from attending soccer games by competent authorities or sporting entities in any country or who are considered to be a security risk are prohibited from receiving Tickets and entering and / or staying at the Stadium.

3.6 Entrants who leave the Stadium will not be allowed to enter again, unless permitted by the CONMEBOL Unique Finals 2019 Authorities. The CONMEBOL Unique Finals 2019 Authorities will not substitute any Tickets regardless of the reason, including loss, theft or robbery of Tickets.

3.7 Each Ticket is personalized t. Each Ticket holder must sit in the seat assigned to the respective Ticket. However, CONMEBOL Unique Finals 2019 Authorities reserve the right to replace the seat identified in the ticket by another, in case of technical or safety reasons, even if the new seat is in a different sector, but in a category at least equivalent. The ticket holder acknowledges that such substitution does not change the seat value of the services which he has become entitled to receive upon acquiring the ticket and therefore does not give him any right to reimbursement or compensation.

3.8 Any bearer of admission who enters the Stadium accompanied by children or adolescents must carry and present, at any time, upon request of the CONMEBOL Unique Finals 2019 Authorities , the necessary authorization of the parents or legal representatives of the child or adolescent required by local legislation .

3.9 The CONMEBOL Unique Finals 2019 Authorities can not guarantee: (a) that a specific player or team will participate in the Match; (b) the duration of the match; and (c) that the ticket holder shall have a fully uninterrupted and unobstructed view of the match on the designated seat. The ticket holder acknowledges that the above changes do not change the value of the seat and / or services that the ticket holder is entitled to receive with the ticket, and does not grant any ticket holder/buyer any right to reimbursement or compensation.

3.10 Due to applicable local laws, the acquisition or use of certain tickets is subject to a personal condition defined by law, including but not limited to, age, professional status and/or deficiency ("personal condition"). If the acquisition or use of a ticket is subject to a personal condition or disability, in addition to proof of identity, the ticket holder shall carry and present at any time, upon request of the CONMEBOL Unique Finals 2019 Authorities the document necessary for demonstrate the fulfillment of the personal condition or disability, as required for the acquisition or use of the ticket. This means that, regardless of the provisions of item 3.2, a ticket that is subject to a personal condition or disability does not grant by itself (without the presentation of necessary documentation and, when requested, the biometric proof in the entrance of the stadium) CONMEBOL permission to enter and remain in the stadium.

4. Limits on Resale of Tickets

4.1 Ticket holders may not sell, offer for direct sale, offer at auctions, resell, donate, act as commercial agent to another party without the prior written and express consent of CONMEBOL

4.2 Tickets can only be purchased through official channels of sale authorized by CONMEBOL, such as (www.copasudamericana.com/tickets), Ticket Centers or any official sales agent. Any Ticket obtained by any other means (for example, unauthorized intermediaries such as moneychangers, internet auctions, Internet Ticket sellers or other unofficial Ticket exchange platforms) will automatically be deemed null and void. Upon request of CONMEBOL, the Ticket Holders shall explain how, from whom, by how much and from where the Tickets were obtained.

4.3 The Ticket holder acknowledges that certain activities related to the illegal sale and use of Tickets may constitute a crime in accordance with the local legislation and other laws applicable. It is recommended that Buyers / Ticket Holders inform themselves about the laws applicable to the irregular sale and use of Tickets.

5. Sound and Image Recording

5.1 Any Ticket Holder who attends a Match expressly acknowledges that (i) CONMEBOL holds ownership and control of all commercial and intellectual property rights relating to the Match and Competition; and (ii) the Competition is public and is being recorded. To the extent permitted by applicable law, any person present in a Match unconditionally agrees that for commercial or otherwise, without payment of any compensation, his or her voice, image, photograph or similar may be perpetually used through or live video, broadcasting, streaming or other broadcast or recording, photographs or any other media technology currently known or be invented, and irrevocably authorize the use of such voice, image, photograph or similar by CONMEBOL or third parties authorized by CONMEBOL to use such material. Any Ticket Holder present at the Match or any person who withdraws a Ticket authorizes the use of image recording devices for security purposes. Each Ticket Holder immediately waives all rights and measures that seek to prevent the use of such materials, under the terms of applicable law. CONMEBOL, and third parties authorized by CONMEBOL for the use of such material, shall act in accordance with and comply with all applicable laws relating to the use they may make of such materials.

5.2 Ticket Holders may not record or transmit any sound, still or moving image or description of the Match (or any Match result, information or statistics) except for private use. The dissemination of any sound, static or moving image, description, information, result or statistic of the Game, in whole or in part, for any type of public access is strictly prohibited, regardless of the form of transmission, whether via the internet, radio, television, cell phone, any information transmission equipment, or any other existing or invented media. Ticket Holders may not assist other persons in the practice of such activities.

6. Ambush Marketing and Other Marketing Activities

6.1 Ticket Holders may not engage in any form of activity that may result in a direct or indirect commercial association with CONMEBOL, the Competition or parts thereof, or its business partners without the authorization of CONMEBOL, either through unauthorized use of logos or by any other means.

6.2 Ticket Holders shall be strictly prohibited from using, wearing, possessing or carrying any non-official commercial or promotional objects or materials, or offering for sale, sale or possession with the intention of selling beverages, food, souvenirs, clothing, or other commercial items and / or promotional, official or otherwise, at the Stadiums on Match day. All such products may be withdrawn by the CONMEBOL Unique Finals 2019 Authorities, without any payment of financial compensation to the Ticket Holders.

6.3 Ticket Holders shall be strictly prohibited from engaging in any commercial activity or participating in any commercial promotion within the Stadiums unless expressly approved in writing by CONMEBOL.

6.4 Ticket Holders are strictly prohibited from delivering leaflets or information, or any other way of promoting or drawing attention to any business, cause (commercial or otherwise) or charity within the Stadiums and their safety perimeter, unless authorized expressly and in writing, CONMEBOL. 6.5 Buyers and/or Ticket Holders may not use the Ticket for commercial purposes, such as promotions or promotional activities, as well as to use as prizes in competitions or raffles, unless expressly authorized in writing by CONMEBOL. 6.6 Tickets may not be sold as part or in any way included in travel packages (such as in conjunction with hotel flights and / or journeys) or packages including hospitality services within or outside the hospitality areas located within Stadiums or around them (such as in conjunction with catering services before or after the Match), without prior written approval of CONMEBOL.

7. Acceptance of Risk and Limited Liability

7.1 Each Ticket Holder is responsible for behaving in a manner that safeguards his or her own safety and the safety of minors or other incapable persons ("incapable person") accompanying them and accepts all risks and dangers that the ticket holder or any dependents may face or suffer while he is present at the match, as well as waive any action against the CONMEBOL Unique Finals 2019 Authorities regarding such risks and dangers. The ticket holder agrees and acknowledges that there are risks to his safety and loss of his belongings on the way to the stadium, on the way back from the stadium, outside and inside the stadium. Nothing in these GTCs is intended to limit or exclude any rights that can not be waived by the Ticket Holder under applicable law, such as: (A) to accept risks or dangers arising from, or waive the right to indemnity arising from, acts committed by the CONMEBOL Unique Finals 2019 Authorities; or (B) exclude or restrict any liability for death or personal injury resulting from negligence or improper conduct of the CONMEBOL Unique Finals 2019 Authorities.

7.2 Each person referred to as CONMEBOL Unique Finals 2019 Authorities has different roles and responsibilities in relation to the Competition. Each of the CONMEBOL Unique Finals 2019 Authorities is responsible for its own acts and omissions.

8. CONMEBOL Unique Finals 2019 Authorities and Non-Compliance by the Ticket Holder

8.1 In case of violation of any of the provisions of the GTCs, the Security Regulation 2019 or any other laws, statutes, regulations or ordinances, or instructions given by the CONMEBOL Unique Finals 2019 Authorities, the Ticket will automatically be considered void and invalid and the CONMEBOL Unique Finals 2019 Authorities will, as the case may be, and without prejudice to other applicable measures: (a) prevent the entry of the Ticket Holder at the Stadium; (b) expel the the Ticket Holder of the Stadium; (c) confiscate the Ticket; (d) electronically cancel the Ticket, as well as any other Tickets that are in the name of the same Buyer, if such other Tickets have also been violated; (e) take legal action to enforce the applicable terms, laws and regulations, as well as claim damages, if any; and / or (f) notify government authorities of such breach.

8.2 No Ticket Holder shall be entitled to reimbursement or any other form of compensation under applicable law if (i) an Entry is deemed null and void, (ii) entry is not permitted, (iii) the Ticket Holder (such as attempting to enter a Ticket obtained through unauthorized means by CONMEBOL), or (iv) the Ticket Holder is expelled from the Stadium on the basis of violation of the GTCs, Security Regulation 2019 or any applicable laws, statutes, regulations or ordinances, or instructions given by the CONMEBOL Unique Finals 2019 Authorities. If an Admission is considered void and invalid due to a false declaration by the Requester of Ingress regarding the fulfillment by him or a Guest of a Personal Condition or disability to which the Admission is subject, the Ticket Sale Regulation shall apply and shall prevail over this clause 8.2 with respect to the cancellation of said Ticket and any refund or compensation related thereto.

8.3 In addition to the measures set forth in Clauses 8.1 and 8.2 and other measures permitted by law, the Ticket Holder agrees to deliver to CONMEBOL all revenues or other proceeds from the unauthorized sale of Tickets, in order for CONMEBOL to transfer such revenues to a charity organization of his choice, in which case neither CONMEBOL nor any other rights holder designated by CONMEBOL is entitled to such income or other benefits.

8.4 Each ticket holder is responsible for the use of his ticket and, to the extent permitted by applicable law, any ticket holder shall indemnify and hold the CONMEBOL Unique Finals 2019 Authorities harmless from any and all claims, costs, damages and liability suffered and / or incurred, due to or due to: (a) misuse of a ticket; or (b) improper use of a ticket by an incapable person if the ticket has been purchased by the ticket holder; or (c) improper use of ticket by any third party who has obtained, directly or indirectly, a ticket from the ticket holder; or (d) a violation of the GTCs, the ticket sales regulations, the Security Regulation 2019 at the stadium or any applicable laws, statutes, regulations or ordinances, or instructions given by the CONMEBOL Unique Finals 2019 Authorities. Among other things, the provisions of this clause mean: if a ticket holder violates the GTCs, the Ticket Sale Regulations, the Security Regulation 2019 or any laws, statutes, regulations or ordinances of the authorities of CONMEBOL Unique Finals 2019 Authorities , it will be required to assume full financial responsibility and pay for any damages, including legal costs that the authorities of CONMEBOL Unique Finals 2019 Authorities may incur in the conduct or resolution of the problems caused by the violation.

9.Information

Personal information that the Ticket Applicant and / or the Buyer and / or the Ticket Holder provides, directly or indirectly, to CONMEBOL, pursuant to the Ticket Sale Regulation will be used , processed, filed and transferred to third parties indicated by CONMEBOL in accordance with applicable law and for the purposes related to the sale of Tickets, seat allocation procedures, any relevant security measures and / or protection measures related to the Competition.

10. Unpredictable Circumstances

10.1 The Ticket Holder acknowledges that CONMEBOL and / or the match referee have the right, but not the obligation, to cancel, interrupt or repeat part or all of the Match, or change the time, date and / or place of the Match. Game, due to force majeure event or other applicable reasons. " Force Majeure" includes storm, heavy rains, earthquake, flood or other natural disasters, war, invasion, foreign enemy act, hostilities (whether or not declared war), war or civil conflict, riot, state of emergency, epidemic or otherwise public health emergency, fire, explosion, act of terrorism, rebellion, theft or theft of essential equipment, intentional damage, strikes, lock out or other similar disputes, road closures or air or land traffic, precautionary measures requested by third parties, acts of government or competent authorities, or any similar or related event that is beyond the control of CONMEBOL or other CONMEBOL Unique Finals 2019 Authorities. Other applicable reasons include, for example, protection of the integrity of the Competition or decisions based on the Laws of the Game, which are the codified rules of football as authorized by the International Football Association Board.

10.2 If a Game is canceled, the Ticket will be deemed invalid and the Ticket Buyer will be entitled to a refund. If the CONMEBOL changes the date or time of the Game, the Ticket will be valid for the remarked Start. If CONMEBOL changes teams participating in a Match, the Ticket will be valid for Match with new teams. If the Place of Game is changed, CONMEBOL may decide that the Ticket will be valid for the Relocated Game or that the Buyer will be refunded. If a match is repeated, the repeated match shall be considered a new match. In this case, the Ticket will not be valid for Repeated Game and the Buyer will not be entitled to a refund or any other compensation.

10.3 In the event that the Buyer of the Ticket is entitled to receive reimbursement pursuant to Section

10.2, such reimbursement shall be limited to the price paid to CONMEBOL for the Ticket. Interest or other costs and expenses (such as travel or accommodation costs) shall in no event be compensated by CONMEBOL to the Buyer of the Ticket as part of or in addition to the refund. Only the Ticket Buyer named on the Ticket Application Form may request a refund. The refund request will be accompanied by proof of the purchase of the Ticket from a seller authorized by CONMEBOL, and the indication of the account to be credited, and must be requested within three years from the date scheduled for the Game.

Admittance purchasers are responsible for the provisions regarding their own transportation, travel and accommodation regarding attendance at Game, which must be planned by the Ticket Buyer, under their responsibility.

11. General Provisions

11.1 To the extent permitted by applicable law, unless explicitly provided in these GTCs, no Ticket Buyer shall in any event be entitled to any refund, indemnity or other form of compensation.

11.2 Any request for information regarding the Tickets must be sent to CONMEBOL, through the Ticket Centers at the address to be announced by CONMEBOL or indicated at ticket sales website. Information will also be provided on the website (https://www.conmebol.com).

11.3 The GTCs, the Ticket Sale Regulations and the Security Regulation 2019 are: (a) available to Buyers and Ticket Holders on the ticket sales website; .

11.4 Should any provision of these GTCs be considered null, void or unenforceable by a competent court, the remainder of the GTCs shall remain in effect as if such null, void or unenforceable provision had not been included.

11.5 These GTCs were prepared in Spanish. Other translations of the GTCs are available on the website www.copasudamericana.com/tickets. In case of any discrepancy between the Spanish text and the translations, the Spanish text will be used to solve doubts of interpretation and application.

11.7 Certain provisions of these GTCs shall be repeated in a condensed manner so that they may be printed in the limited space available on the back of the Tickets. In case of doubt as to the scope or meaning of the provisions condensed on the back of the Tickets, the terms of these GTCs shall prevail.

11.8 To ensure clarity and consistency in their application, to the extent permitted by applicable law, these GTCs shall be governed exclusively and interpreted in accordance with the local laws.

11.9 To the extent permitted by applicable law, for all disputes related to or associated with any rights and obligations arising from these GTCs, the parties shall seek a friendly settlement. If CONMEBOL and the Enrollment Holder, or its successor, are not able to reach a friendly solution, the exclusive forum, within the limits of applicable law, shall be that of the county of Assuncion, Paraguay. Notwithstanding the provisions of this document and in accordance with applicable law, CONMEBOL reserves the right to bring any claim relating to these GTCs to the jurisdiction of the Purchaser's domicile or residence.

11.10 Registration for pre-sale does not guarantee the right to buy tickets.

11.11 Any person who is included in the “prohibition list” and who is currently prohibited in sports venues in any CONMEBOL member association is not authorized to buy and / or access any of the events organized by the Confederation.

11.12 The ticket holder is solely responsible for confirming with the respective authorities of his country and the host country of the event any requirement regarding visas and / or any type of mandatory health recommendation for entry into the country.

11.13 Category 1 tickets will have a numbered seat. Tickets from other categories will have a general admission (free seating) in order of arrival at the stadium. CONMEBOL Unique Final 2019 authorities may change this guideline at any time.

Ticket Sales Regulation for the General Public

1. Purpose of this Ticket Sale Regulation

1.1. This Ticket Sales Regulation for the General Public rules the sale of the tickets (“Tickets”) by the CONFEDERACION SUDAMERICANA DE FUTBOL CONMEBOL for customers living in Paraguay or not, that acquired a ticket through the official sales channels (as defined on the clause 11.1 of this document) for the Unique Final CONMEBOL SUDAMERICANA ASSUNCION 2019 (“Game”) of the CONMEBOL SUDAMERICANA (“Competition”), made available by CONMEBOL – Confederacion Sudamericana de Fútbol (“CONMEBOL”);

1.2. The number of tickets available for sale for the general public the Game is determined by CONMEBOL. Due to the temporary installations for the press, the reserved tickets by CONMEBOL for groups of clients that are not the general public, as well as the safety demands and other organizational needs, that may vary in each game, the number of tickets available will vary and it will never be equivalent to the total number of seats in the stadium where the game is held (“Stadium”). During the competition, the stadium will be controlled by the CONMEBOL and the service provider responsible for the sale of the tickets and the access control, the stadium administrators and/or the local public authorities responsible for the safety measures and of its respective employees, agents, representatives, administrators and leaders (in addition, “CONMEBOL Unique Finals 2019 Authorities”);

1.3. Tickets (I) that were not acquired in a Ticket Center (as defined in clause 11.1 of this document) or (ii) for the clients that are not general public or (iii) in which the Tickets are part of products that contain other benefits, products and/or services besides Tickets, are ruled by specific regulation.

1.4. In order to watch the Game inside the Stadium, every customer, regardless of age, must have a valid ticket and present document registered during the sales process.

2. Electronic Request for Ticket

2.1. The Electronic Request of Ticket available by CONMEBOL or by any third party authorized by CONMEBOL, is the only way by which a customer may request the purchase of a determined number of tickets for a determined category for the Games, together with terms & conditions, applied by this type of sale including but not limiting to this Ticket Sales Regulation (“Electronic Ticket Purchase”) .

2.2. The customer that fulfills and sends the Electronic Request for the Ticket (“Ticket Requester”) will be the only responsible for the veracity of the information. Electronic Requests of Tickets containing incorrect, delayed, incomplete, false, reckless, altered or damaged information will be rejected by CONMEBOL. Additional notes, requests, attachments, appeals, changes and other alterations to the standard offer, that will be included by the requester and that are contained on the Electronic Request, or attached to it, will not be considered or accepted by CONMEBOL. The acceptance by CONMEBOL is based on the understanding that all the information given by the Requester are based on good faith. In case, after the acceptance by CONMEBOL of the offer of the Requester, CONMEBOL identifies that, in the content informed by the Requester, any imprecision or deviation of the standard offer, such acceptance will not be considered or interpreted as acceptance, by the CONMEBOL, such imprecision or deviation of the standard offer and CONMEBOL may cancel, to their exclusive criteria, the Tickets, as described in the General Terms and Conditions for the Ticket Use of CONMEBOL Unique Finals 2019 (“GTCs”) and of this Ticket Sales Regulation.

3. Choice of the Ticket Category

3.1. In this Regulation of the Ticket Sale, the CONMEBOL sells Tickets for the Game to the general public in four (4) distinct price categories defined as tickets categories 1 to 4 (“Ticket Category”), being the Ticket Category 1 the one with the highest price, and the Ticket Category 4 the one with the lowest price. The seat designation on the Stadium for all Ticket Categories will be done by CONMEBOL for the Game individually, according with the international standards and as it was established in the form of Request for Ticket. CONMEBOL determines the categorization of each seat in the Stadium to each Game. The Ticket Requester recognizes that: (i) The ticket category designated for each specific seat in the Stadium may vary from Game to Game; (ii) All Ticket Categories, including the Ticket Category 1, contain seats situated on the lower, intermediary and higher rings of the Stadiums; (iii) The categorization of the Tickets is not affected by any conditions on the day of the Game that may impact the use of the seats, such as climatic conditions, natural disasters or the suspension of the event because of violence; and (iv) With the exception of Category 1, all the seats are general admission (free seating), meaning no numbered seats. These seats can be used if available in match day.

4. Sales Restriction

4.1. The Ticket Requester can only request up until four (4) tickets by Game.

4.2. All Electronic Requests for Tickets will be automatically rejected by the sale system, in case the requester: (i) Requests more tickets or more ticket categories than it is allowed by

Game; (ii) The Ticket requester registered on a list of person legally prohibited to attend to a Game; (iii) The Ticket holder has legal or security restrictions that prohibits him to attend to the Game ; (iv) The requester is not 18 years old in the moment of the request; (v) In any way violates the restrictions established in this regulation.

4.3.The sales restrictions established in the clauses 4.1. and 4.2. above apply to any person that is requesting the ticket. Therefore, an Electronic Request for Ticket will be automatically rejected to any person that violate any of these restrictions of sale.

4.4. CONMEBOL acceptance is based on the understanding that the requester read and accepted all restrictions of sale predicted in this regulation.

4.5 If, after the conclusion of the purchase process, CONMEBOL identifies any violation of the sale process, such sale will not be considered by CONMEBOL. CONMEBOL may cancel the sale to their exclusive criteria and the terms of the GTCs and this Ticket Sales Regulation.

5. Tickets Availability

5.1. Tickets will be available in different phases of sales, as described in the tickets sales website and in other medias eventually are published by CONMEBOL. The capability of CONMEBOL to answer the requests for Tickets specified by the requester in the Electronic Request for Ticket will depend of the total number of tickets available during the sales phase. From time to time, CONMEBOL can release additional tickets reserved to other groups for the general public and other groups of clients.

6. Request to purchase the Ticket

6.1. The requester of the Ticket is the only responsible for the veracity of the information by him included on the Electronic Request for Ticket. The complete fulfillment, until the conclusion of the payment process in the sales system CONMEBOL, constitutes in an irrevocable offer and binding of the Requester to acquire the specified on the Electronic Request for Tickets.

6.2. The requester of the Ticket needs to be, at least 18 (eighteen) years old completed to submit to CONMEBOL an Electronic Request for Tickets. They may only request tickets for minors, their parents or legal guardians and must prove such condition at the time of withdrawal and admission to the stadium. Minors must also present an identity document for admission.

6.3. The Electronic Request for Tickets can only be altered and/or canceled by the Requester, until the effective finalization of the payment process of the sales system assigned by CONMEBOL.

6.4. The online registration, in the beginning of the ticket sales process, is not a warranty of availability of any ticket for the requester, and does not constitute

in a conclusion of the sale of the tickets.

7. Acceptance by CONMEBOL

7.1. After the conclusion of any ticket sale, CONMEBOL Unique Finals 2019, will be send to the Requester a confirmation of the transaction through e-mail, (“Ticket Confirmation”). The confirmation of the Ticket will specify the amount of tickets allocated to the Requester, the category of the tickets. The confirmation of the purchase of the Ticket will not identify any specific seat. The purchase confirmation will be sent only the after the payment is confirmed and represents the acceptance by CONMEBOL of the requester's offer, that is now considered Buyer and, constitutes the conclusion of the contract of sale of the Ticket (“Ticket Sales Contract”). The Requesters that are not successful in the conclusion of the purchase, on the virtual system of sales of CONMEBOL, will immediately receive the reasons for such fact, and therefore, will not receive any other type of notification from CONMEBOL afterwards on the reasons for the rejection of the request of purchase of tickets.

7.2. All the tickets sales are final. Any person that acquires, obtains or uses a Ticket (“Ticket Holder”) cannot opt to cancel the purchase or return the Tickets after the conclusion of the sale. CONMEBOL may cancel the ticket and resign, total or partially, the Ticket Sales Contract in the terms of the GTCs and this Regulation of the Ticket Sale. The Buyer can not cancel a purchase or resign the sale contract of the tickets or return the tickets after the conclusion of sale at the virtual system of sales of CONMEBOL.

8. Price; Taxes; Rates; Coin;

8.1. The price of the Tickets is determined by CONMEBOL and will be indicated on the Ticket Request Form. The price of the Tickets will depend on the Ticket Category.

8.2 The sales currency of the Tickets will be clearly identified. The applicable exchange rate will be as follows: Peso chileno (CLP) 1 USD $ = 757.07 CLP ; Guarani (PYG)1 USD $ = 6447.52 PYG; Real (BRL)1 USD $ = 4.23 BRL

8.3 Prices include all applicable taxes.

9. Payment Process

9.1 CONMEBOL will accept the payment methods indicated in the Electronic Ticket Request.

9.2 The Ticket Requester must ensure that all requested information has been provided and confirmed and that there is sufficient balance for the requested transaction. In case of success in the Electronic Ticket Request, CONMEBOL will debit the indicated payment cards prior to the delivery of the Ticket Confirmation and without the need for any other specific notification. If CONMEBOL is unable to debit the indicated payment card, the Electronic Ticket Request will be automatically rejected.

9.3 Payment in cash may or may not be accepted on sales made directly at CONMEBOL’s Ticket Centers (TCs), if available.

9.4 The full payment of all tickets is essential and constitutes a relevant obligation of the ticket requester. If CONMEBOL receives only partial payment of the Requested Requester, or payment is not approved at the end of the process in the ticket sales system, the Requests for Tickets may be entirely rejected by CONMEBOL. Acceptance of CONMEBOL is based on the assumption that the payment was made in full. If CONMEBOL identifies that the payment was made in an irregular or partial manner, after the CONMEBOL total or partial acceptance of the Requester's offer of the Ticket, such acceptance will not be considered or interpreted as acceptance by CONMEBOL, this is considered a violation of this Ticket Sales Regulation and CONMEBOL may cancel, at its sole discretion the Tickets allocated to the Ticket Requester and terminate the sale. Any costs, incurred due to payment with the payment card or currency conversion will be the responsibility of the ticket Requester.

10. Seats

10.1 CONMEBOL will designate a specific seat for each Category 1 Ticket. CONMEBOL shall endeavor, but can not guarantee, that all seats designated to a Buyer for the same match shall be adjacent to each other. Seats designated to a Buyer may be located in separate sections, rows or blocks of seats. CONMEBOL will not be able to provide adjacent seating for people who submit separate Electronic Applications.

10.2 The Buyer acknowledges that the specific location of a seat within category does not change the ticket price, that tickets of a category may have different characteristics, and that a seat may be located in the vicinity of the boundary of a section of the stadium or a seat of another category of tickets.

11. Collection of Tickets

11.1 Tickets allocated by CONMEBOL to the Buyer will be available for withdrawal at the Ticket Centers ("Ticket Centers" - TCs) operated by CONMEBOL, or by an authorized third party, in all cities where the Competition will take place, the location of the ticket centers will be published in near future at the CONMEBOL website and by other media that CONMEBOL deems appropriate.

The Ticket Buyer acknowledges that in order to ensure the highest level security of CONMEBOL will not offer withdrawal tickets on the day of Game at the stadium. All Tickets included in a Request for Successful Tickets must be personally collected by the buyer with his own document or a legal representative holding a letter of attorney with powers. Proper identification with a document with photo and credit card used for payment shall be presented for the collection as specified on the Ticket Request Form. Tickets may only be collected upon receipt of the full payment for CONMEBOL. Once the Tickets are available for collect, the CONMEBOL strongly recommends that Buyers collect their tickets as early as possible, and always before the day of game.

11.2 In the event that the Buyer is entitled to a Ticket for a Person with Disability, the Purchaser will be required to, at the time of the collection of Tickets, at the Ticket Centers, the official identification documents or respective certified copies that prove the condition.

11.3. The presentation of the proper identification document and the payment card used in the transaction, in the form of clause 11.1, as well as the presentation of the official documents proving the fulfillment of a personal condition, in the form of clause 11.2 above, represent a Buyer's relevant obligation that may be required at the time of collection of the tickets, at the entry to the Stadium and during the course of the games.

12. False Statement on a Personal Condition

12.1 A false statement by the Buyer regarding the fulfillment of a personal condition necessary for the purchase or use of a ticket by the Buyer or any of its guests represents a breach of the ticket sales contract. In this case, the CONMEBOL may immediately cancel the ticket sales contract, in whole or in part, and cancel any ticket included in the respective confirmation of the purchase of a ticket, in accordance with the terms of the GTCs and this sales ticket regulation. If CONMEBOL identifies any false statement about a Personal Condition prior to acceptance of the Incoming Requester’' offer, the completed Application Form or any other that may be submitted by the Incoming Request in the future will not be considered, and the offer made by the Ticket Requester will not be accepted by CONMEBOL.

12.2 In case of termination of the Ticket Sale Contract and Cancellation of Tickets by CONMEBOL as a result of the false declaration by the Requester of an Inmate Concerning a Personal Condition, the Requester shall be required to pay to CONMEBOL the amounts described below for purposes of the administrative costs incurred due to the termination / cancellation of the Ticket,: (i) thirty percent (30%) of the total price indicated on each Ticket canceled by CONMEBOL (including in respect of Tickets to its Guests), if termination occurs at the time of the intended withdrawal of Tickets by the Buyer, or previously , provided that the cancellation occurs up to forty-eight (48) hours before the scheduled start of the Game; or (ii) the sum of the price indicated on each Ticket canceled by CONMEBOL (including Tickets to its Guests) if termination occurs within forty-eight (48) hours prior to the scheduled start of the Match, including when the Inmate Holder intends to enter the Stadium.

12.3 In any case, the amounts described in clause 12.2 above may be offset by CONMEBOL against any payments already made by the Buyer. CONMEBOL reserves the right to act judicially in any case related to the non-return of the ticket price or its penalty.

13. Disability admission requesters

13.1 CONMEBOL will make available a limited number of Tickets exclusively for persons with disabilities ("Tickets for Persons with Disabilities"), as described in the Ticket Request Form. Valid proof of condition that assures the condition declared.

13.2 The Requester that is in a wheelchair and that has successfully completed his / her application shall have the opportunity to receive an additional Ticket free of charge to his / her escort ("Escort"), as described on the Ticket Request Form.

13.3 Disabled wheelchair buyers who do not require wheelchairs should contact CONMEBOL (as per the contact information listed in clause 18 below) regarding their specific needs.

13.4 The Buyer's misrepresentation of Buyer's or any of its Guests' deficiencies as described in the Ticket Request Form constitutes a breach of the Sales Contract of Tickets. In this case, CONMEBOL may terminate the Ticket Sale Agreement and cancel the Tickets, in whole or in part.

14. Consequences of Termination

14.1. Except for other specific consequences, applicable under the terms of the TCGs and without prejudice to clauses 7.4 and 12.2 of this Ticket Sale Regulation, in case of termination of the Ticket Sale Agreement pursuant to these Regulations, for the purpose of refunding CONMEBOL of the administrative costs incurred due to the termination / cancellation of the allocated Tickets, the necessary reallocation and new issue of the Ticket for sale to the public, and to compensate the CONMEBOL for the reduced chance to resell the Tickets, the Buyer will be obliged to pay the CONMEBOL amount equivalent to: (i) thirty percent (30%) of the total price indicated on each Ticket canceled by CONMEBOL (including in respect of Tickets to its Guests), if termination occurs at the time of the intended withdrawal of Tickets by the Buyer, or previously , provided that the cancellation occurs up to forty-eight (48) hours before the scheduled start of the Game or (ii) the sum of the price indicated on each Ticket canceled by CONMEBOL (including Tickets to its Guests) if termination occurs within forty-eight (48) hours prior to the scheduled start of the Match, including when the Inheritance Holder intends enter the Stadium.

14.2 In any case, the amounts described in clause 14.1 may be offset against any payments already made by Buyer to CONMEBOL. CONMEBOL reserves the right to adopt legal measures.

14.3. Notwithstanding the provisions of this agreement, CONMEBOL reserves the right to seek additional compensation if the amounts provided in this clause are not sufficient to compensate for damages, including lost profits.

14.4 In the event that the Ticket Buyer is entitled to any refund under this Ticket Sale Regulation, CONMEBOL will reimburse the payment received from the Buyer due to the cancellation of the Ticket Application, minus any amount due to administrative costs. Such reimbursement shall be limited to the amounts received by CONMEBOL. CONMEBOL will not pay Buyer any interest or other compensation for any costs or expenses incurred by Buyer for any reason (such as travel or accommodation expenses). Refunds will be made within the deadlines established by Paraguayan

consumer defense legislation and in the same monetary means (eg credit card, will be refunded on the credit card) in which said ticket was acquired.

15. Personal Information

15.1 The Purchaser shall ensure that the personal information provided initially in the Electronic Ticket Request, for the request and later payment and withdrawal of Tickets, are always updated until the date of the Game for which the Ticket has been allocated. Buyers will be given the opportunity to update their information personal. If an Electronic Ticket Request is unsuccessful or rejected, the Ticket Requester may request that the personal information provided be discarded by contacting CONMEBOL (as per the contact information provided in the clause below).

15.2 The Ticket Purchaser acknowledges that the personal information presented to CONMEBOL under the terms of these Ticket Sale Regulations will be, in compliance with the legislation. In accordance with the applicable legislation, used, processed, stored and transferred to third parties designated by CONMEBOL (located both inside and outside Paraguai) for purposes related to (i) sales procedures and location of Tickets, (ii) any security measure relevant, and (iii) rights protection measures related to the Competition.

15.3 In addition, if the Ticket Buyer has expressively manifested the specific consent in the Electronic Ticket Request, the Ticket Buyer acknowledges and agrees that his personal information submitted to CONMEBOL pursuant to these Ticket Sale Regulations may also be used for purposes related to other products and services of CONMEBOL or third parties determined by CONMEBOL, in relation to commercial activities that may be of interest to the Buyer. Once the event is over, the ticket buyer may request that CONMEBOL withdraw their personal data from any list in which it has been included as part of this ticket purchase process.

16. Acceptance of the Ticket Sale Regulation, the TCGs and the Security Regulation 2019

16.1 By completing and submitting the Electronic Ticket Request to CONMEBOL, the Ticket Requester irrevocably agrees that upon becoming a "Purchaser" it acknowledges and undertakes to comply fully with these Ticket Sale Regulations, the GTCs and the applicable security measures adopted by any of the Authorities of CONMEBOL Unique Finals 2019 that will be reflected in the Security Regulation 2019 and any regulations of the applicable CONMEBOL competitions, which are available on the CONMEBOL website (www.conmebol.com). The Security Regulation 2019 will be made available at ticket sales website. 16.2 Each Buyer shall be fully responsible for ensuring that each Ticket Holder who has received, directly or indirectly, an Allocated Ticket has read, understood and accepted and is bound by the GTCs and the Security Regulation 2019. To this end, the Purchaser shall provide to each Entry Holder copies of the GTCs and the Security Regulation 2019, or shall direct such Entry Holder to the location where the GTCs and the Security Regulation 2019 are made available and any regulations of the applicable CONMEBOL competitions, which are available on the CONMEBOL website (www.conmebol.com)..

16.3 In the event of violation of this Ticket Sale Regulation, the TCGs and / or the Security Regulation 2019 by the Buyer or any of its Guests, in addition to the rights specifically provided for in these Tickets Sale Regulations, CONMEBOL may terminate the Ticket Sales Contract, totally or partially, and cancel, in whole or in part, the Tickets allocated to the Buyer.

17. Limitation of Liability

The CONMEBOL Unique Finals 2019 Authorities shall not be held liable for any: (i) incorrect or incomplete collection, inclusion, transfer or processing of personal information and other information, or the management of such information, including any lost, incorrect or incomplete ticket application forms, (ii) Technical failures, such as computer hardware or software failures or any Internet or print errors, (iii) Impossibility of communication with any Buyer by e-mail or other means, including failure or delay in delivery of the ticket confirmation, either to the buyer's email or telephone or any other service provider, or (iv) Delay or failure, in whole or in part, in the payment made by the requester for admission or receipt of payment by CONMEBOL, pursuant to this ticket sales regulation, for any reason.

Any requests for information regarding Tickets, this Ticket Sale Regulation and / or the Ticket Request Form and eventual cancellations, must be addressed to CONMEBOL through the official email: atendimento@eventim.com.br

19. General Provisions

19.1 Should any provision of these Ticket Sale Regulations and / or the Electronic Ticket Request be deemed void, without effect or unenforceable by a competent court, the remainder of this Ticket Sale Regulation and / or the Electronic Ticket Request will remain in force, as if such invalid, unenforceable or unenforceable provision had not been included.

19.2. This Ticket Sale Regulation and the Electronic Ticket Request were prepared in Spanish and translated into other languages. In case of any discrepancy between the Spanish text and the translations, the Spanish text will prevail will be used to solve doubts of interpretation and application.

19.3 To ensure clarity and consistency of its application, to the extent permitted by applicable law, the Ticket Sale Regulation and the Electronic Ticket Request shall be governed exclusively and interpreted in accordance with the laws of Paraguay.

19.4 To the extent permitted by applicable law, for all disputes related to or associated with any rights and obligations arising out of these Ticket Sale Regulations and Electronic Ticket Request, the parties shall seek a friendly settlement. In case CONMEBOL and the Requester or Buyer of the Ingress, or its successor, are not able

to arrive at a friendly solution, the exclusive forum, within the limits of the applicable law, will be that of the region of Assuncion, Paraguay. Notwithstanding the provisions of this document and in accordance with applicable law, CONMEBOL reserves the right to bring any claim relating to these Ticket Sale Regulations and the Electronic Ticket Request to the forum of the Requester’s or Purchaser's domicile or residence. In case of cancellation of the match for any reason, the amounts paid will be refunded, with prior authorization, coordination and publication by CONMEBOL and the organizer within the deadlines established in these regulations. In case of cancellation CONMEBOL will try to schedule a new date for the event and the ticket holder may choose to proceed to claim the return or keep the entry ticket for the new date of the event. In case of changes in the configuration of the match, whether it be the date, time, place of the match, or substantial change, CONMEBOL will refund the amounts paid upon request and are authorized by CONMEBOL and the organizer. The refund referred to in this clause will be made under the same conditions in which the consumer acquired them. In all the cases mentioned above, the return period will in no case be less than 30 business days. The provisions of Paraguayan laws regarding consumer defense will always be taken into account.

19.5 These Ticket Sale Regulations, the TCGs and the Security Regulation 2019 are: (i) available to Requesters and Holders of Tickets atwww.copasudamericana.com/tickets;(ii) provided to any person upon request to the contact address indicated in clause 18above; (iii) provided to Buyer so that it may be distributed by Buyer to all its Guests; and (iv) available at Ticket Sale centers which be revealed in a timely manner.

Ticket Sales Regulation version 1.1 - 08/oct/2019

GENERAL INFORMATION

- Every purchase made through the website will be subject to analysis protocols as well as internal confirmation by EVENTIM Brasil São Paulo that may require specific customer documentation even after order confirmation, which may be cancelled. All expenses will be automatically refunded to the card used on the purchase.

- The customer is responsible for verifying all information pertinent to their order (event, day, time, number of tickets, seat information and sector) before completing their purchase.

- If the tickets have not yet been delivered and all other cancellation conditions have been met, cancellation must be requested to cancelamento@eventim.com.br from the registered e-mail address within the period of 07 (seven) days from the date of purchase, stating the order number you would like to cancel as well as informing that you are aware of the cancellation rules.

- Loss, Theft, and Damage: After purchase and delivery, tickets will be entirely under the responsibility of the buyer, with no possibility of compensation or reprint in the event of loss, damage or theft.

- Non-attendance to the event is the customer’s choice and shall not be subject to reimbursement of any amount paid for the tickets or in any way.

- Any requests of reimbursements made after the event occurs will not be accepted. There is no partial purchase cancellation, meaning that it is not possible to cancel only one ticket of an order containing two or more tickets.

- Credit Card Purchases: Refund requests are sent to the card-issuing bank of the card used on the purchase. Chargeback will be available in up to two invoices, according to the credit card closing date, as well as the terms and rules of the card companies. The refund is made on the credit card bill used for payment, with no possibility of bank deposits.

- EVENTIM is not responsible for any reimbursement or refund in case of force majeure or in any case related to the occurrence or non-occurrence of the event (s).
